- Product Map : Terms and Conditions of Use

Please read the following terms and conditions carefully before using the Product
Market Analysis Portals Web site (herein after the "Product Map Web site"). By using
it, you agree to follow and be bound by the following terms and conditions concerning
your use of the site. You may not access or use the Product Map Web site should
you not want to be bound by these Terms of Use. By accessing and using the Product
Map Web site you agree to periodically review its terms and conditions and to be
conclusively bound by any future modifications.
The Product Map Web site is a global business information service offered by the
International Trade Centre UNCTAD/WTO (hereafter referred to as ITC). The
Product Map Web site can be defined as a central hub providing information of interest
to specific product-based sub-groups of the global business community and providing
a facility for Web-based interaction for that sub-group.
The Product Map Web site comprises of various Web pages operated by ITC
and its partners. ITC partners are either information providers or technology providers,
or both. The Product Map Web site is produced and managed by ITC.
The Product Map Web site is offered to you conditioned on your acceptance
without modification of the terms and conditions contained herein. When you register
to become a Subscriber, you are required to click the "Confirm
Subscription" button to further acknowledge your acceptance of these
terms and conditions. Your use of the Product Map Web site constitutes your agreement
to all of the terms and conditions stated herein.
- Eligibility For Membership -
Sections of the Product Map Web site are available to corporations, business entities,
trade support institutions and individuals against annual payments stipulated in
the subscription page of the Product Map Web site. The Membership Fee is non-refundable.
By completing the registration form, you represent and warrant that you can enter
into legally binding contracts under applicable law. ITC has the sole discretion
to refuse or cancel membership. Only registered Subscribers of the Product MapWeb
site are allowed to use the Product Map "Subscribers only" Web pages. If you are
not a Subscriber to the Product Map Web site, you can access, as a Visitor, the
selected free sample Product Map. If you are a visitor to the Product MapWeb site,
your use of the site is your automatic agreement to these terms and conditions.

- Subscribers’ Username and Password -
|

Your Username and password are unique, confidential, and proprietary within the
Product Map Web site. Your Username and Password should not be shared with third-parties
unless explicitly authorized by ITC. Your Username and password are only known to
the highest level of systems administrators of the Product Map Web site. In addition,
any registration information submitted by a Subscriber is kept confidential for
exclusive use by ITC and will not be passed on to any other organization.
- No guarantee of access -
ITC does not and cannot guarantee continuous, uninterrupted, or secure access to
the Product Map Web site. From time to time, access to and/or operation of the Product
Map Web site may be interfered with or interrupted with by factors outside of the
control of ITC.
- Fees and Payments -
Subscribers to the Product Map Web site are subject to fees as stated in the Subscription
section of the Product Map Web site. Unless otherwise stated, all fees are quoted
and payable in U.S. Dollars. Terms of payment are within net thirty
(30) days from the date of invoice unless otherwise stated by ITC. In
the event that payment is not received within the thirty (30) day period without
an acceptable explanation, the subscription will be suspended. The Subscriber shall
pay all costs of collection. If any proceeding is brought against a Subscriber under
bankruptcy or insolvency laws, ITC shall be allowed to cancel any current transaction.
Failure to promptly pay fees shall be grounds for termination of privileges available
on the Product Map Web site. The annual subscription fee for access to the Product
MapWeb site is not refundable, except if a request of cancellation of subscription
is received in writing from the member within fourteen days
after the first day of access to the Product Map Web site.
- Taxes and Fees -
ITC accepts no responsibility for taxes of any kind that may be imposed upon a transaction
entered into through the use of the Product Map Web site.
Any dispute between ITC and a Subscriber to the Product Map Web site arising out
of the interpretation and/or execution of these terms and conditions shall be settled
by mutual agreement. If ITC and the Product Map Web site Subscriber are unable to
reach an agreement on any question in dispute, or on a mode of settlement other
than arbitration, either party shall have the right to request arbitration in accordance
with the Arbitration Rules of the United Nations Commission on International Trade
Law (UNCITRAL), as at present in force. ITC and the Product Map Web site Subscriber
agree to be bound by any arbitration award rendered in accordance with the above
as the final adjudication of any such dispute.
- Link to third party sites -
The Product Map Web site may contain links to other Web sites. The linked Web sites
are not under the control of ITC and ITC is not responsible for the contents of
any linked Web site, including without limitation, to any link contained in a linked
Web site, or any changes or updates to a linked Web site. The Product Map Web site
only provides these links as a convenience, and the inclusion of any link does not
imply endorsement by ITC of the linked Web site or any association or affiliation
with its operators. You understand further that the Internet contains unedited materials
some of which may be offensive to you. While ITC will periodically access the sites
to which the Product Map Web site provides links to, ITC cannot and does not guarantee
or warrant that sites will not change contents without notice. You access such materials
at your own risk. ITC has no control over and accepts no responsibility whatsoever
for such materials.
Ownership of the contents of the Web sites linked to the Product Map Web site remains
exclusively with owners of the respective linked sites. The Product Map Web site
solely offers the service of directing Subscribers to what is available on the Internet
related to the 72 product clusters covered by the Product Map Web site. This also
includes short market studies collected from free Web sites on the internet which
are made available on the Product Map Web site through its Market Studies module.
- Lawful Use -
As a Condition of your use of the Product Map Web site, you warrant that you will
not use the Product Map Web site for any purpose that is unlawful or prohibited
by these terms and conditions. You further warrant that you are legally able to
enter into a Product Map subscription contract with ITC. You may not use the Product
Map Web site in any manner that could damage, disable, overburden, or impair the
Product Map Web site or interfere with any other Subscriber/Visitor’s use of the
Product Map Web site. You may not use any device, software, or routine to interfere
or attempt to interfere with the proper working of the Product Map Web site. This
includes, but is not limited to, any viruses, trojan horses, worms, or time bombs.
You may not take any action that imposes an unreasonable or disproportionately large
load on ITC’s infrastructure, including but not limited to, unsolicited or mass
e-mailing techniques or "spam". You may not obtain or attempt to obtain any materials
or information through any means not intentionally made available or provided for
through the Product Map Web site. Further, any information you submit to the Product
Map Web site must not infringe any rights of third parties, including but not limited
to intellectual property, publicity, or privacy, be defamatory, trade libelous,
threatening, or harassing, obscene, indecent, or contain pornography.

- Ownership of Domain names -
Ownership of the www.p-maps.org domain name is registered as the property of ITC.

- Ownership of the Product Map Web site’ contents -

The Product Map Web site and all intellectual property rights included therein,
including but not limited to patents, trademarks, service marks, copyrights, and
trade secrets, are owned by ITC, and all right and title and interest therein shall
remain the property of ITC. The copying, redistribution or publication of Product
Map contents, or any part of the Product Maps Web site, by Visitors/Subscribers
is subject to specific authorisation to be sought from the ITC. All reference to
Product Map content by Visitors/Subscribers must indicate the source as: 'Product
Map developed by the International Trade Centre UNCTAD/WTO'. The Product Map Web
site Subscriber does not acquire ownership rights to any content or document obtained
through the Product Map Web site. Visitors/Subscribers shall not remove any copyright,
trademark, or other intellectual property or proprietary notice or legend contained
on the Product Map Web site or its contents.
- Networking Facilities -
Through its ‘Storefronts’ and ‘Business Contacts’ facilities, the Product Map Web
site offers facilities to network among Subscribers and Visitors to the Product
Map Web site. This service solely offers Product Map Subscribers the opportunity
to network with other visitors to the site. These facilities are offered without
any guarantee from ITC as to their accuracy as stated under the liability clause.
These facilities have the sole function of offering a meeting point and do not include
any transactional or commercial element. ITC carries no responsibility whatsoever
related to any transaction or agreement between any users of the Product Map Web
site.

- Modifications of terms and conditions -

ITC reserves the right to change the terms and conditions under which the Product
Map Web site is offered. You are responsible for periodically reviewing these terms
and conditions. The modified terms and conditions are immediately effective after
they are initially posted on the Product Map Web site.

1. The Product Map Web site is administrated by ITC’s Trade Information Section
with the objective to enhance the capacity of trade support institutions and businesses
in developing countries to undertake market research for trade development.
2. Access to the Product Map Web site is granted to users and partner organisations
in any country on a non-exclusive basis.
3. Access to the Product Map Web site is via a Password / Username interface and
on a subscription, fee-paying basis. Access is granted after payment of subscription
fees by the Subscriber, upon receipt of an official invoice from ITC.
4. The Username and Password to access the product Map Web site are unique, confidential,
and proprietary within the Product Map Web site. Usernames and Passwords should
not be shared with third-parties unless explicitly authorized by ITC. Usernames
and passwords are only known to the highest level of systems administrators of the
Product Map Web site. In addition, any registration information submitted by a Subscriber
is kept confidential for exclusive use by ITC and will not be passed on to any other
organization.
5. ITC reserves the right to grant temporary access to the Product Map application
at no cost to selected users, at its own discretion, without justification or prejudice
to the future implementation of the official Product Map charging policy for these
selected users.
6. ITC reserves the right to change any user’s Username and Password occasionally
with one month notice in writing.
7. By first entering the Product Map Web site with the Username and Password provided
by ITC or ITC’s partner organisations, users of the Product Map Web site agree to
be bound by these general conditions of access and by the Terms and Conditions of
Use of the Product Map application posted on the Product Map Web site home-page
on www.p-maps.org under “Terms and Conditions”.
8. ITC reserves the right to revoke any user’s access to the Product Map Web application
in case of non-compliance with these terms and conditions.
9. ITC does not and cannot guarantee continuous, uninterrupted, or secure access
to the Product Map Web site. From time to time, access to and/or operation of the
Product Map Web site may be interfered with or interrupted with by factors outside
of the control of ITC. The help desk and maintenance of the Product Map Web site
and database operate on the basis of Switzerland’s working hours.
10. Users are authorised to pass or sell any data and analysis extracted from the
Product Map Web site. Users are free to set prices to sell data and analysis extracted
from the Product Map application. In all cases, the source of Product Map data should
be referred to as 'Product Map developed by the International Trade Centre UNCTAD/WTO'.
Conditions for Institutional single user access to the Product Map Web site

11. Single user access to the Product Map Web site can be provided to partner organisations
and users who do not wish to disseminate access to the application to third parties.
12. Single user access to the Product Map Web site is for users’ internal use only.
Usernames and Passwords are nominative, confidential and should not be published,
disseminated or shared with any third party. The Username/Password issued to these
users of the Product Map Web site have been designed to operate exclusively from
the first PC / Server from which the user first accesses the application.
13. In special circumstances, single organisations operating from a variety of offices
or countries may be granted, for a nominal fee, a global Username and Password to
the Product Map Web site, allowing access from multiple locations.
Conditions for dissemination of access to the Product Map application

14. National country partners can opt to disseminate access to the Product Map Web
site to third party users in their country. For this, partners will be required
to sign a Memorandum of Understanding (MOU) with ITC outlining conditions of access
and subscription fees.
15. Partner organisations are provided with a confidential, primary Username and
Password to the Product Map Web site. Partner organisations are not authorised to
publish, disseminate, sell or share their primary Username and Password with any
third parties, outside those mentioned specifically in ITC’s individual agreement
with its partners.
16. Partner organisations are provided with a confidential code which enables them
to create additional secondary Usernames and Passwords to the Product Map Web site
for use by third-parties located in the partner’s country.
17. Access by third parties is authorised only with the secondary Username and Password
obtained from the partner organisation.
18. The Username/Password issued to third parties by ITC’s partner organizations
will operate exclusively from the first PC / Server from which the third party user
accesses the Product Map Web site. This will be monitored through the IP address
of the PC / Server used by the third party.
